Nscale Seeks $35B Valuation in IPO Amid $103B in Contracts

Key Insights

  • Nscale is planning an IPO that will value it at $33 billion.
  • The listing will make it a top 35 UK company by valuation.
  • It has received some of the biggest orders in the neocloud industry.

The Nvidia-backed AI infrastructure provider could see its valuation reach up to $35 billion through the Nscale IPO. On Sept. 18, the British enterprise filed for a listing on the New York Stock Exchange under the ticker symbol NSCL.

However, the share count and IPO price have not yet been determined by Nscale. While Reuters indicated a target close to $30 billion, the Financial Times mentioned an estimate of up to $35 billion. Furthermore, the regulatory filing revealed a substantial difference between Nscale’s active contracts worth $2.6 billion and its total contract book of $103.4 billion.

Nscale IPO Nears as its Growth Accelerates

Nscale intends to go public in the U.S. soon, entering the market alongside competing neocloud providers like IREN, Nebius, and CoreWeave. Its submitted paperwork outlines a projected valuation of $33 billion.

Achieving this valuation would position the enterprise as the 32nd-largest company in the UK based on market capitalization, outstripping well-known firms such as Wise, Legal & General, Imperial Brands, Aviva, and BT Group.

This public offering deals a significant blow to the London Stock Exchange (LSE), which has struggled to secure major listings in recent years. Instead, prominent British businesses like AstraZeneca, Fergusson, Wise, and Flutter Entertainment have shifted their primary listings to the United States.

As a prominent beneficiary of the ongoing artificial intelligence boom, Nscale has successfully drawn major AI sector players as clients, including OpenAI, Anthropic, and Microsoft.

Agreements with Microsoft are slated to yield over $43 billion in revenue over time, while the partnership with Anthropic is projected to bring in $44 billion. Additionally, OpenAI is anticipated to pay upward of $1 billion over time, and Figure AI is set to rent 10,000 GPUs from the provider. Altogether, Nscale’s contracted revenue has climbed past $103 billion.

These contracts have fueled dramatic growth over the past year. According to the company’s filing, revenue skyrocketed by 1,252% to reach $140 million in the first half of the year, outpacing the revenue growth of competitors like CoreWeave and Nebius.

Nscale Stock Will Face Major Risks Ahead

While Nscale stock stands to gain from a thriving AI market and extensive contracts with global corporate giants, it simultaneously confronts several significant risks that could impede its performance.

To begin with, rapid revenue growth has come with escalating losses. For the first half of the year, the net loss expanded to $1.02 billion alongside the $140 million revenue figure, heavily overshadowing previous comparative figures of $368 million.

Secondly, matching the trajectory of comparable businesses, rising operating costs mean Nscale will require a continuous influx of cash. As observed with sector peers like IREN, Nebius, and CoreWeave—whose shares have declined amid investor concerns over mounting expenditures—capital needs remain high.

These firms typically rely on a mix of equity and debt to secure funding. CoreWeave’s total debt has surpassed $27 billion, and its leadership anticipates capital expenditures exceeding $35 billion. They also issue shares to raise capital, resulting in further dilution.

Thirdly, the firm must navigate intensifying competition within the neocloud landscape, where it faces off against established entities like IREN and CoreWeave. A growing number of Bitcoin mining operations, including HIVE Digital, Cipher Mining, MARA Holdings, and Riot Platforms, have also expanded into this space.

Significantly, major AI clients such as Meta Platforms and SpaceX are also entering the market. SpaceX has secured substantial orders from Anthropic, Reflection AI, and Google. Such saturation risks creating an industry-wide slowdown, particularly if sector momentum cools.

Moreover, Nscale stock will encounter the typical post-IPO turbulence where initial price spikes are followed by pullbacks, a pattern previously witnessed with SpaceX.
